Corporate Express Sponsors Seminar for The City Of Sydney Law Society on Discretionary Trusts

As part of its commitment to provide information of value to its clients and the wider business community, Corporate Express sponsored a seminar for the City of Sydney Law Society (CSLS).

Having built a strong reputation over the years as providers of Discretionary Trust and Unit Trust Deeds, Corporate Express is often asked many technical questions in relation to trustees, settlors and appointors.

Introducing the Seminar on 25 June, 2008, Robert Zitek, Director of Corporate Express said "We thought that in light of the level of interest we are seeing on this subject, it was timely that the topic of our sponsored seminar relate to Discretionary Trusts."

Michael is and continues to be an invaluable resource to our business and our clients.

Michael’s paper encompassed practical tips and traps in establishing family discretionary trusts.

Michael also invited Robert Gordon to present a paper. Robert has had extensive experience in large accountancy and law firms. Since 1992 he has been a member of the NSW Bar Association specialising in tax with a special interest in international tax laws.

Robert’s paper focused on the use of family discretionary trust for overseas asset protection and taxation.

The seminar was attended by 42 members of the CSLS and was well received by the attendees.

To: Australian Government Attorney-General's Department second tranche of the Anti-Money Laundering and Counter Terrorism Financing Act 2006

Submission by Corporate Express to the Australian Government Attorney-General's Department in response to the proposed second tranche of the Anti-Money Laundering and Counter Terrorism Financing Act 2006.

Over the past few months Corporate Express has been lobbying the Australian Government Attorney-General's Department, ASIC and other peak industry bodies in relation to the proposed second tranche of the Anti-Money Laundering and Counter Terrorism Financing Act 2006.

The implication of these reforms will have far reaching implications for all ASIC lodging agents and Australian e-commence within this industry. In addition the proposed reforms will impact SME's in relation to the ease, cost and speed of doing business in Australia.

Commonly Asked Question in Corporate Compliance

Robert Zitek of Corporate Express recently conducted a seminar for the members of the City of Sydney Law Society. The topics under discussion included:

Ten tips for your business

Corporate Express is often the first port of call when someone wants to start up their first business. To assist our start-up clients we have developed a list of 10 tips.

  1. Choose your business entity.
    Factors to consider are:
    • the nature of your business
    • the size of your business
    • the risk associated with your business
    • setup and ongoing costs
    • tax issues
    • degree of control required.

    Sole trader formation is the simplest and cheapest form of business structure. The sole trader has exclusive control over the business however that trader also has unlimited liability for debts of the business.

    If you wish to operate your business as a company you must incorporate your company. The advantages of incorporation include:

    • limited liability for shareholders
    • asset protection
    • possible tax advantages
    • trading in other states and territories under the same name without having to register a business name or arrange for a principal place of business there

  2. Choose your business name

    If you wish to trade under a name that is not your name you will need to register your business name with the Consumer Protection Authority of the state in which the business name is used.

  3. The name you choose should reflect your desired image and must not be misleading or offensive and must be available as a domain name if you wish to have a website.
  4. Design a logo/letterhead/distinctive mark

    If you want to establish your business as a brand you may need to create a distinctive mark or logo.

  5. Consider whether you need to register your business name/logo as a trade mark.

    The registration of your business name does not confer any proprietary rights in that name or your logo.

    By registering your name/mark/logo as a trade mark the identity of your goods or services are protected in the sense that you can prevent others using it.

  6. Obtain an ABN prior to the commencement of trading.

    The Australian Business Number (ABN) is a number allocated to businesses by the Australian Taxation Office (ATO) and is used for all dealings the company has with the ATO. The company must place its ABN on all tax invoices irrespective of whether you are registered for GST.

  7. Consider whether you need to register for GST

    If you carry on a business, you must register for GST if your GST turnover is at, or above the GST turnover threshold, that is, it is $75,000 or more.

  8. Consider whether you need special licences to commence trading.

    This information can be obtained from website of the Consumer Protection Authority of the State in which the business name is used. For NSW that is the Office of Fair Trading.

  9. Your business will need a TFN

    A Tax File Number (TFN) is a unique number issued by the ATO to individuals, companies, partnerships and trusts. Sole traders use their individual TFN, there is no need to apply for another one. You can apply for a TFN at the same time as you apply for an ABN on-line at www.business.gov.au or phone the ATO on 13 28 66.

  10. Open a bank account for your business

    Even if you are a sole trader it is often wise to open a separate bank account for your business. This will assist you and your accountant in identifying income and allowable deductions for your business.
