19. What is a constitution?

A constitution is a set of rules that govern the running of a company. Prior to 1 July 1998 the constitution was referred to as the "Memorandum and Articles of Association". The constitution we provide to our clients has been prepared by one of Sydney's recognised Corporate Solicitors and is regularly reviewed to ensure that the rules are up to date and easy to understand.
